1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client", "Contractor", or "you") and Wnode Ltd t/a Staffa ("Staffa", "we", "us", or "our"), governing your access to and use of staffa.work, our conversational voice receptionist services, client portals, telecommunications routing, and software integrations.

By completing an order, submitting payment details, configuring call forwarding, or utilizing our services, you confirm that you have read, understood, and agreed to be bound by these Terms.

2. Description of Services

Staffa provides an automated AI front-desk telephony and triage platform designed for emergency trade contractors, healthcare clinics, legal practices, and transport recovery services:

24/7 AI Voice Intake: Inbound call answering in under 2 seconds with natural conversational intelligence.
Urgent Triage & Qualification: Captures caller problem, location, severity, and critical emergency status.
Instant Mobile Dispatch: Structured dispatch alerts via SMS and/or email to on-call personnel within 30 seconds.
Self-Serve Modular Catalog (Services 1–8): Digital message-to-text, two-way calendar sync, telesales qualifier, instant missed-call text-back, review harvester, quote follow-up, and job status tracking.

3. Commercial Model, Setup Fees & Usage Wallet

One-Off Setup Fee (£147 / $187)

Covers dedicated UK/US DID number allocation, bespoke knowledge base compilation (`brain.md`), carrier SIP trunking, and speech-to-text calibration. Setup fees are earned upon commencement of provisioning and are non-refundable.

Monthly Base Subscription (£15 / month)

Billed in advance on a recurring 30-day billing cycle via Stripe. Covers active carrier routing, conversational intake infrastructure, and primary dispatch alerts.

Opening Transaction (£187 / $187)

Your initial checkout consists of £147 / $187 setup + £15 Month 1 base fee + £25 prepaid usage wallet = £187 / $187 total.

Zero-Debt Prepaid Usage Wallet

Telephony carrier minutes (Telnyx) and voice synthesis (ElevenLabs) are billed on pass-through consumption. When your wallet balance drops below £5.00 / $5.00, Stripe automatically charges an auto-reload of £25.00 / $25.00, guaranteeing zero interrupted calls and zero unpaid debt.

4. 100% Zero-Notice Cancellation & Wallet Refunds

Zero Notice Required: You may cancel your subscription at any time with zero prior notice and zero cancellation fees or exit penalties.

Service Continuity: Your service remains 100% operational until the end of your current paid 30-day billing cycle, allowing safe reconfiguration of your carrier call forwarding.

Wallet Balance Refund: Upon account closure and expiration of the active billing cycle, any remaining unconsumed prepaid usage wallet credit above £5.00 / $5.00 is refunded to your original payment method via Stripe upon written request to support@staffa.work within 30 days of closure.

5. Multi-Jurisdictional Telephony Compliance Covenants

When using Staffa's voice intake, SMS dispatch, or marketing add-ons, the Client explicitly covenants to comply with all applicable local and international regulations:

US TCPA Compliance: Client warrants prior express consent for automated outbound SMS/voice triggers and agrees never to bypass Staffa's automated "STOP" opt-out handler. Outbound communications must respect 8am–9pm local recipient hours.

Canada CASL Compliance: Client warrants verifiable consent for commercial electronic messages (CEMs) and clear sender identification with 60-day active unsubscribe links.

Australia Spam Act 2003: Client ensures commercial messages to Australian recipients have express or inferred consent and provide a functional 5-day unsubscribe facility.

UK PECR & EU GDPR: B2B marketing outreach is strictly limited to corporate subscribers (Ltd / LLP). Direct marketing opt-outs must be respected immediately.

6. Public Emergency Services Disclaimer (999 / 911 / 112 / 000)

Staffa is NOT a public emergency answering service.

Staffa systems do NOT support or route emergency calls to police, fire, ambulance, coastguard, or gas emergency lines (999, 911, 112, 000). Callers experiencing life-safety emergencies, gas leaks, or physical peril must disconnect immediately and dial their national emergency service.

7. Limitation of Liability

To the maximum extent permitted by English law, neither Wnode Ltd nor its directors, employees, or contractors shall be liable for indirect, incidental, or consequential damages, including loss of profits, contracts, or business opportunities. Staffa's total aggregate liability under any claim shall not exceed the total fees paid by the Client in the twelve (12) months preceding the claim.

8. Governing Law & Contact
